Welcome to Agenitech, LLC (“Agenitech,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our software-as-a-service platform, website, and any related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

“Account” means your registration with Agenitech to access the Services.

3. Account Registration & Security

You must provide accurate, current, and complete information when registering.

You are responsible for maintaining the confidentiality of your login credentials and for all activities under your Account.

Notify us immediately of any unauthorized use or security breach.

4. License & Use of Services

Subject to these Terms and your timely payment of all fees, we grant you a limited, non‑exclusive, non‑transferable license to access and use the Services for your internal business purposes.

You may not copy, modify, distribute, sublicense, reverse‑engineer, or create derivative works of the Services except as expressly permitted by us.

5. Payment & Fees

Our subscription plans, pricing, and payment terms are as set forth on our website and in your Order Form.

All fees are non‑refundable except as required by law or as expressly stated otherwise.

Overdue payments may incur interest or result in suspension of your Account.

6. Your Content

You retain ownership of all Content you upload to the Services.

By uploading Content, you grant Agenitech a worldwide, royalty‑free, sublicensable right to host, reproduce, and display that Content as necessary to provide the Services.

You represent and warrant that you have all rights and permissions to your Content and that your Content does not infringe the rights of any third party.

7. Prohibited Conduct

You agree not to:

Use the Services to violate any law, regulation, or third‑party right.

Send unsolicited communications (“spam”).

Interfere with or disrupt the integrity or performance of the Services.

Circumvent any technical measures we employ to prevent misuse.

8. Intellectual Property

All intellectual property rights in the Services (excluding Your Content) are owned by Agenitech or its licensors. No rights are granted to you other than as expressly set forth in these Terms.

9. Confidentiality

“Confidential Information” means all non‑public information disclosed by one party to the other in connection with these Terms.

Each party agrees to protect the other’s Confidential Information with the same degree of care as its own, but not less than reasonable care.

10. Warranties & Disclaimers

Our Performance Warranty: We will use commercially reasonable efforts to maintain the Services in accordance with our documentation.

Disclaimer: EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS.

Agenitech’s aggregate liability under these Terms shall not exceed the total fees you have paid to us in the twelve (12) months preceding the event giving rise to liability.

12. Termination

By You: You may cancel your Account at any time by contacting customer support.

By Us: We may suspend or terminate your Account for cause (e.g., non‑payment, breach of these Terms) with notice.

Upon termination, your right to access the Services immediately ceases; we will delete or anonymize your Content as described in our Privacy Policy.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the state in which Agenitech is incorporated, without regard to conflict‑of‑law principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in that jurisdiction.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you by email and/or by posting updated Terms on our site. Your continued use of the Services after such notice constitutes acceptance of the revised Terms.

15. Entire Agreement

These Terms, together with the Privacy Policy and any Order Forms, constitute the entire agreement between you and Agenitech regarding the Services and supersede all prior or contemporaneous agreements.
